Name:
- Must be distinguishable (not deceptively similar) from filed or reserved company names.
- Must include a corporate indicator: Limited, Ltd., Corp., Corporation, Inc., or Incorporated.
- Restricted words: ANY THING related to Legal Services, Banking, Finance or Education will require approval.
- Prohibited words: Board of Trade, Chamber of Commerce, Co-Op (restricted for LLC use only), Community Renewal, Redevelopment Corporation, State Police, State Trooper, Tenant Relocation, Urban Development, Urban Relocation.
Registered Agent:
- Not required to be appointed – Secretary of State is designated as agent on whom process will be served. They will then forward to the address indicated in the Certificate. If you do not wish to use your address, CorpCo can provide this service/address for you.
Director:
- Is a member of the board that manages the affairs of the company.
- A minimum of one director and address (not required on the formation document.)
Stock:
- Is an instrument that indicates an ownership position and represents a claim in the corporation’s assets and profits.
Purpose:
- General purpose clause acceptable.
