Delaware vs. Nevada- Is it better to incorporate in Delaware or Nevada?
CorpCo ( www.corpco.com ) is asked this question frequently, and while both states are popular places to incorporate, there are some small differences.
- How about cost?
Delaware's State filing fee is lower - $89 VS $130 in Nevada.
- How quickly can the incorporation be processed?
Delaware incorporations are formed faster - 24 hours is the average for routine service, while Nevada corporations take 5-10 business days unless expedited service is paid for.
- Can I file my incorporation anonymously?
Delaware allows corporations to be initially filed anonymously, while Nevada requires an initial list of officers and directors to be filed with their office within 60 days of the filing of the corporation.
- The maximum shares for the minimum cost?
When you incorporate in Delaware you can have up to 1500 shares of no par value stock OR up to $75,000 worth of par value stock to pay the standard $89 filing fee. In Nevada you are allowed up to 75,000 shares of no par value stock OR up to $75,000 worth of par value stock for the standard $130 filing fee.
- Is it better to incorporate in Delaware if you are closer to the East Coast or Nevada if you are closer to the West Coast?
Doesn't matter! Stockholders, offices and directors do not need to live, visit or even hold meetings in Delaware or Nevada to be incorporated there. Non-US citizens may form corporations in either state as well.
