- Name:
  - Must be distinguishable from filed or reserved company names.
  - Must include a corporate indicator: Co., Company, Limited, Ltd., Corp., Corporation, Inc., or Incorporated
  - Words Restricted: Bank, Banking, Engineering, Engineer, Insurance
- Registered Agent:
  - Is a physical address located within the state of incorporation, where someone. is available to receive service of process. If you do not have such an address, CorpCo can provide this service.
  - Signature of Registered Agent required on documents
- Director:
  - Is a member of the board that manages the affairs of the company.
  - A minimum of one director and address (not required on the formation document.)
- Stock:
  - Is an instrument that indicates an ownership position and represents a claim in the corporation's assets and profits.
- Purpose:
  - General purpose clause acceptable.

  - Must include a corporate indicator: L.C., LC, LTD, LLC, L.L.C., Liability Company, Limited Company, or Limited Liability Company.
  - Words Restricted: Bank, Banking, Engineering, Engineer, Insurance (PROHIBITED – Cooperative)
- Registered Agent:
  - Is a physical address located within the state of incorporation, where someone. is available to receive service of process. If you do not have such an address, CorpCo can provide this service.
  - Signature of Registered Agent required on documents
- Manager/Member:
  - A member is an owner of the LLC and is similar to a stockholder of a corporation.
  - A manager is a person chosen by the members to manage the LLC and is similar to a director of a corporation.
  - A manager can also be a member.
  - A minimum of one member and address is required on the formation document.
- Purpose:
  - General purpose clause acceptable.
